Terms of Service

These Terms of Service ("Terms") govern your access to and use of Dextes ("the Service"), operated from Delhi, India. By creating an account or using any part of the platform, you agree to be bound by these Terms and our Privacy Policy. If you do not agree, do not use the Service.

1. Acceptance of terms

By accessing or using Dextes, you confirm that you are at least 18 years of age, have the legal authority to enter into these Terms on behalf of yourself or your organisation, and agree to be bound by them. These Terms constitute a legally binding agreement under Indian law.

2. Description of service

Dextes is a software-as-a-service (SaaS) platform for creating and administering technical hiring assessments, psychometric evaluations, coding tests, and employee skill tracking. The platform includes an assessment builder, candidate management tools, analytics dashboards, AI-assisted question generation, a coding IDE with automated evaluation, and related features.

We reserve the right to modify, suspend, or discontinue any feature of the Service at any time with reasonable prior notice.

3. User accounts

You are responsible for maintaining the confidentiality of your account credentials and for all activity that occurs under your account. Do not share your password. If you suspect unauthorised access, notify us immediately at support@dextes.com.

You may invite team members to your workspace. Each team member must use their own login credentials. You are responsible for ensuring all users under your account comply with these Terms.

4. Subscription plans and billing

Plans and fees

Dextes offers a free tier and paid subscription plans. Plan details, features, and pricing are shown at dextes.com/pricing. All fees are stated in Indian Rupees (INR) and are exclusive of applicable taxes.

GST

Goods and Services Tax (GST) at the prevailing rate applies to all paid plans. We will issue a valid GST invoice for each transaction. If your organisation is GST-registered, provide your GSTIN during account setup for correct invoicing.

Billing cycle

Paid subscriptions are billed in advance, either monthly or annually depending on the plan selected, beginning on the date of initial purchase.

Auto-renewal

Your subscription renews automatically at the end of each billing cycle unless you cancel before the renewal date. We will send a renewal reminder at least 7 days before the renewal date to your registered email address.

Payment methods

We accept credit cards, debit cards, UPI, net banking, and other methods supported by Razorpay Technologies Private Limited. All payment processing is performed by Razorpay and is subject to their own terms of service and privacy policy.

Failed payments

If a payment fails, we will notify you by email and retry the charge up to 3 times over 7 days. If payment is not received, your account may be downgraded to the free tier. Access to paid features is restored immediately upon successful payment.

Plan limits

If you approach or exceed your plan limits, we will notify you and give you the option to upgrade. We will not charge you automatically for overages without your explicit consent.

5. Refund and cancellation policy

Cancellation

You may cancel your subscription at any time from your account settings or by emailing support@dextes.com with the subject "Cancel Subscription". Cancellation takes effect at the end of the current billing period; you retain full access until then.

Annual plan refunds - 14-day window

Annual plan subscribers may request a full refund within 14 days of the initial purchase date, provided the service has not been materially used (defined as fewer than 3 assessments published and fewer than 10 candidate invitations sent). Submit your request to support@dextes.com with subject "Refund Request", your registered email, and your Razorpay transaction ID.

Monthly plan refunds

Monthly subscription fees are non-refundable once the billing cycle has commenced. You may cancel at any time to prevent future charges; access continues until the end of the paid period.

Renewal charges

Renewal charges are non-refundable unless they fall under the exceptions below.

Exceptions - mandatory refunds

Refunds are always issued for: (a) duplicate charges caused by a technical error on our side, raised within 30 days; (b) service unavailability exceeding 72 consecutive hours in a billing period due to issues on our side.

Refund processing

All approved refunds are credited to the original payment method within 5 to 7 business days. Processing times may vary depending on your bank or card network. You will receive an email confirmation once the refund has been initiated.

6. Digital delivery of services

Dextes is a digital software service. No physical goods are shipped. Upon successful payment confirmation:

  • Your account is activated or upgraded immediately
  • A confirmation email and GST invoice are sent to your registered email address
  • No shipping fees apply and no physical delivery address is required

If account activation is delayed beyond 2 hours, contact support@dextes.com.

7. Acceptable use

You agree to use Dextes only for lawful purposes. You must not:

  • Use the Service to discriminate against candidates on any protected characteristic under Indian or applicable law
  • Use the Service to send spam, unsolicited messages, or fraudulent assessment invitations
  • Facilitate academic fraud or enable candidates to misrepresent their qualifications
  • Attempt to reverse-engineer, decompile, or extract source code from the platform
  • Use automated scripts or bots that place disproportionate load on the platform or disrupt service for other users
  • Share, sublicense, or resell platform access to parties outside your organisation
  • Upload content that is defamatory, obscene, illegal, or infringes third-party intellectual property rights
  • Attempt to access another user's account or data without authorisation

We reserve the right to suspend or terminate accounts that violate these Terms, with or without prior notice depending on severity.

8. Candidate data and data processing

When you use Dextes to assess candidates or employees, you are the data controller for their personal data. You are responsible for: (a) having a lawful basis to process candidate data under the DPDP Act, 2023 or other applicable law; (b) informing candidates that their data is being collected; and (c) complying with applicable data protection obligations.

We act as a data processor on your behalf. Our handling of personal data is described in our Privacy Policy. Enterprise customers may request a Data Processing Agreement (DPA) by emailing support@dextes.com.

9. Intellectual property

Dextes and its platform, code, design, algorithms, and original content are owned by us and protected by applicable intellectual property laws. You retain full ownership of all content you create using the platform - including your assessments, questions, and candidate data.

By using the Service, you grant us a limited, non-exclusive, royalty-free licence to store and process your content solely as necessary to operate and deliver the Service to you. We claim no ownership over your content.

10. Service availability

We target 99.5% monthly uptime for the core platform. Scheduled maintenance will be communicated at least 48 hours in advance via email or in-app notice. In the event of unscheduled downtime exceeding 4 consecutive hours in any billing period due to issues on our side, you may request a service credit by contacting support. This credit is your sole remedy for service unavailability, except as provided in the refund clause.

11. Termination

You may cancel your account at any time. Upon cancellation, your access continues until the end of the current billing period, after which it ceases. You may request a copy of your data before account deletion; data will be deleted within 30 days of account closure unless legally required to be retained longer.

We may terminate or suspend your account immediately for material breach of these Terms, non-payment, or conduct that poses a risk to the platform or other users. We will notify you of termination.

12. Limitation of liability

To the maximum extent permitted by applicable Indian law, our total aggregate liability for any claims arising from these Terms or your use of the Service shall not exceed the fees paid by you in the 12 months immediately preceding the event giving rise to the claim.

We shall not be liable for indirect, incidental, special, consequential, or punitive damages, including loss of profits, loss of data, or loss of goodwill.

Nothing in these Terms limits our liability for: (a) death or personal injury caused by our negligence; (b) fraud or fraudulent misrepresentation; or (c) any liability that cannot be excluded under applicable Indian law.

13. Disclaimer of warranties

The Service is provided "as is" and "as available" without warranties of any kind, whether express or implied. We do not warrant that the Service will be uninterrupted, error-free, or completely secure. We disclaim all implied warranties of merchantability, fitness for a particular purpose, and non-infringement to the extent permitted by law.

14. Indemnification

You agree to indemnify and hold harmless Dextes and its founders, employees, and contractors from any claims, damages, losses, or expenses (including reasonable legal fees) arising from: (a) your breach of these Terms; (b) your use of the Service in violation of applicable law; (c) your infringement of any third-party rights; or (d) any content you upload to or process through the platform.

15. Force majeure

Neither party shall be liable for delays or failures in performance caused by events beyond their reasonable control, including natural disasters, government actions, internet outages, or power failures. For clarity, payment obligations are not excused by force majeure events.

16. Governing law and dispute resolution

These Terms are governed by and construed in accordance with the laws of India. Any dispute arising out of or in connection with these Terms shall first be attempted to be resolved through good-faith negotiation for a period of 30 days from written notice by either party.

If unresolved within 30 days, the dispute shall be submitted to binding arbitration under the Arbitration and Conciliation Act, 1996, with the seat of arbitration at Delhi, India. The language of arbitration shall be English. The arbitral award shall be final and binding on both parties.

The courts at Delhi shall have exclusive jurisdiction over any matter not subject to arbitration.

17. Amendments

We may update these Terms periodically. Material changes will be communicated by email to your registered address at least 14 days before they take effect. Continued use of the Service after the effective date constitutes acceptance of the revised Terms. If you object to any change, you may cancel your subscription before the effective date.

18. Grievance Officer

In accordance with the Consumer Protection (E-Commerce) Rules, 2020 and the Information Technology Act, 2000, we have appointed a Grievance Officer:
